Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Oikyo console, authentication service, and related services (collectively, the "Service") provided by Oikyo.ai ("Oikyo," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility & Accounts

You may use the Service only if you are (a) at least 18 years old, and (b) legally capable of entering into a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Oikyo may suspend or terminate access to the Service if we reasonably believe that your use violates these Terms, applicable law, or poses a security or operational risk to the Service or to other users.

3. Beta Services & No Warranties

The Service is currently offered as a public beta. Beta services are provided for evaluation and testing purposes only and may be modified, suspended, or discontinued at any time without notice.

BETA SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WITHOUT LIMITING THE FOREGOING, OIKYO SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You acknowledge that beta services may contain bugs, errors, or other defects, and that you use the Service at your own risk. You should not rely on the Service for production workloads without a separate written agreement with Oikyo.

4. Sovereign AI & Service Scope

Oikyo is designed to enable "sovereign AI" deployments in which model training and inference execute within your infrastructure boundary. For the avoidance of doubt:

• Models and training data: When you deploy Oikyo in your own environment (air-gapped, VPC, on-prem, or hybrid), your training data, fine-tuned models, and inference payloads remain within that environment and are not transmitted to Oikyo-managed multi-tenant infrastructure.
• Console usage data: Authentication events, configuration changes, and limited usage telemetry for the console may be processed by Oikyo in accordance with our Privacy Policy.

"Sovereign" refers to the control you retain over models and data in your deployment, not to an absence of any console telemetry or operational logging.

5. Intellectual Property & Ownership

As between you and Oikyo:

• Your Data: You retain all right, title, and interest in and to your training data, prompts, evaluation datasets, and any other content you provide or process using the Service ("Customer Data").
• Fine-Tuned Models & Outputs: You own all right, title, and interest in and to fine-tuned models, evaluation artifacts, and outputs generated using Customer Data, subject to any terms that apply to underlying base models you select.
• Oikyo Platform: Oikyo retains all right, title, and interest in and to the Service, including software, workflows, documentation, and integrations, as well as any improvements or derivative works thereof.

You grant Oikyo a limited, non-exclusive license to process Customer Data solely as necessary to provide the Service, troubleshoot issues, and comply with legal obligations.

6. Acceptable Use

You agree not to use the Service in any manner that violates applicable law or our Acceptable Use Policy, including but not limited to:

• Engaging in illegal, harmful, or fraudulent activities.
• Attempting to gain unauthorized access to systems or data.
• Using the Service to build models that violate privacy, safety, or regulatory requirements.
• Uploading regulated data (e.g., PHI, PCI, classified information) except under a separate written agreement.

7. Data Protection & Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy. For customers subject to GDPR or similar regulations, a separate Data Processing Agreement (DPA) may be executed. A draft DPA template is available at /dpa.

8. Disclaimers & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OIKYO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

In all cases, Oikyo's aggregate liability arising out of or related to the Service will be limited to the greater of (a) the amounts you paid for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

9. Governing Law

These Terms are intended as a template and do not specify a governing law or jurisdiction. Your legal counsel should adapt this section to the appropriate jurisdiction(s) for your organization and customers.

10. Changes to These Terms

Oikyo may update these Terms from time to time. Material changes should be communicated to users in advance where reasonably practicable. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
